Outside the Box Home Designs Terms and Conditions

Terms of Payment

All our invoices are due for payment at 28 days after the date of the invoice. We reserve the right to exercise our statutory right to charge interest under the Late Payment of Commercial Debts (Interest) Act 1998 if we are not paid according to our terms. The interest rate to be charged on outstanding debts will be charged at the rate of 4% over the Bank base rate for the period over which our money is owed.

Scope of Works

Unless you respond within 7 working days to the fee proposal letter to the contrary in writing, we shall assume that the contents of the letter are an accurate and complete record of our scope of works.

Should you require services additional to those set out in the fee proposal letter then we shall be entitled to an adjustment of the agreed fee. An estimate or quotation of the additional fees due will be provided to you upon request of the additional service.

Complaints

Any complaint or dispute about any of our invoices should be notified to us within 15 days of the invoice date. After this period, we shall assume that our invoice has been accepted for the services carried out.

Information

The Client will ensure that we are provided in good time with all information needed including an agreed design programme to enable us to perform the Services agreed. We shall use all reasonable endeavours to adhere to design programmes agreed with you for the provision of our services, but will not be responsible for any delay which is due to reasons attributable to you or otherwise beyond our control.

We shall be entitled to rely on all information supplied for the purposes of the scheme or Project undertaken.

The Client will give all decisions and approvals in a timely manner and provide any additional assistance or information which we may reasonably request.

Expenses 

Usual out of pocket expenses including travel incurred in the ordinary course of the Services agreed will be recovered in addition to our fees unless otherwise stated. We will of course ask for your approval prior to incurring any disbursements or expenses which we consider to be excessive or outside the scope of ‘normal’ expenditure.

Copyright

Copyright in all drawings, reports, documents and computer generated data prepared by us will remain our property. Subject to the Client paying all fees and expenses which are due, the Client will have a licence to copy and use documents issued by Outside the Box Home Designs for any purpose relating to the project for which our Services are provided, but not for any other purpose.

Communication

We shall communicate with you by post, verbally and email. We shall take all reasonable precautions to ensure that emails or other electronic data will be free from viruses. We do not, however, to the extent permitted by law, accept any liability (whether in contract, negligence or otherwise) for virus corruption of data issued.

Agreement

We may terminate the Agreement at any time by giving notice to you if you commit a material breach of the Agreement which is not remedied within 14 days. Failure to pay our fees on the due date will constitute a material breach and we shall be at liberty to suspend our services to you relating to the specific project affected until such time as the fees are paid or we terminate the Agreement.

You may terminate the Agreement by notice to us if we commit a material breach of the Agreement and fail to remedy the breach within 14 days notice received from you, the Client.

Upon termination we will be entitled to all fees and expenses due up to the termination date. In the event of wrongful termination by the Client, the Client will in addition pay us an appropriate amount of compensations for loss of anticipated profit.

Facilities and Access

The Client shall arrange for or grant Outside the Box Home Designs safe access at all reasonable

times to such premises as may be necessary for the provision of Outside the Box Home Designs’ Services.

Liability

You shall indemnify Outside the Box Home Designs against any claim howsoever arising as a result of the works. This includes any damages incurred in relation to the services provided.
